PR Newswire Asia Ltd - Conditions of Service

The client of PR Newswire Asia should be a legal entity and organization duly registered in Asia-Pacific region (“Client”). The clientship takes effective, starting from the date that PR Newswire Asia receives the Account Registration Form and the first service subscription fee. Client shall provide a photocopy of its business license/organization certificate that should be legal, genuine and valid. Client shall sign the PR Newswire Asia Service Order Form when subscribing to the services and pay for the service in advance, in a lump sum. In the event that the service is billed in line with the word count and that actual charge is different from the estimated charge, the difference of the charge will be paid within 30 days after the service is rendered.

Client is responsible for the content and accuracy of all news copy and other information submitted by it. Client represents and warrants to PR Newswire Asia that

1.It has the right to deliver to PR Newswire Asia all information and copy submitted to it,

2.It will comply with all applicable laws, rules and regulations

3.No information or copy submitted by client will contain any content that is obscene, libelous, slanderous or otherwise defamatory, false or misleading or which violates any copyright, right of privacy or publicity or other right of any person. Client shall indemnify and hold harmless PR Newswire Asia, its affiliated companies and its third party vendors, including distributors, from and against any and all claims, losses, damages, liabilities, costs and expenses (including reasonable attorney's fees) arising out of or relating to any breach by Client of the foregoing representations and warranties or otherwise arising out of or relating to the contents or nature of copy and other information provided by Client.

PR Newswire Asia reserves the right to reject or edit copy or other information when necessary in its judgment. All news copies, photographs, video and audio files processed shall be the property of PR Newswire Asia.

PR Newswire Asia transmits press releases from client to the media without promising that the media will publish or use the release. Client is solely responsible for the news value of the story and therefore assumes all risk with regard to its use.

PR Newswire Asia endeavors to disseminate promptly and accurately all news and other information that it processes. Any inadvertent errors by PR Newswire Asia will be corrected promptly upon discovery, without additional charge, and such obligation to correct shall constitute the sole liability of PR Newswire Asia in this regard.

PR Newswire Asia is not warranting or ensuring that PR Newswire Asia's services will be free from errors, including omissions, interruptions, delays, losses or defects, whether human or mechanical. PR Newswire Asia makes no warranties, expressed or implied, as to its services, including but not limited to any warranties of merchantability or suitability for print or broadcast. The liability of PR Newswire Asia and its affiliates to client shall be limited to the refund of the fees paid by client and in no event will PR Newswire Asia or its affiliates be liable for any indirect, consequential, special, exemplary or incidental damages.

All news releases and other information transmitted by PR Newswire Asia must contain a Client-supplied contact name and phone number and a clearly identifiable source. The source gives legitimacy to the release by indicating who is responsible for the content and cannot be the name of an agency issuing news on behalf of Client.

After press release distribution, Client agrees to not directly contact PR

Newswire’s media partners for press release content changes or removals on the media’s websites. Client shall only contact PR Newswire’s representatives for these enquiries. Client requests will be reviewed and final decision will be made by PR Newswire on whether or not it is possible to accommodate these changes.

By its submission copy and/or other information to PR Newswire Asia, or by paying for PR Newswire Asia' services, Client agrees to be bound by the foregoing Conditions of Service.
