依生生物製藥公司宣佈於2024年2月22日舉行的特別股東大會表決結果

馬里蘭州蓋瑟斯堡2024年2月23日 /美通社/ -- YS Biopharma Co.，有限公司（Nasdaq: YS）（「YS Biopharma」或「公司」），一家致力於發現、開發、製造和提供新一代傳染病和癌症疫苗和治療性生物製品的全球生物製藥公司，今天宣佈其於2024年2月22日在香港舉行的特別股東大會的表決結果。公司股東對以下各項決議投了贊成票：

一、作為一項普通決議，特此重申、批准和確認任命Haitao Zhao、Henry Chen、Pierson Yue Pan、Yuntao Cui、Jin Wang、Chunyuan (Brenda) Wu為本公司董事。

二、作為一項普通決議，特此授權和指示公司對由公司前董事會主席張譯先生引起或在其控制下的公司任何涉嫌不當行為和/或非法活動進行獨立調查。

三、作為一項普通決議，特此授權並指示公司根據法律顧問和其他專業人士的建議，立即採取行動加強公司治理以及內部控制和管理。

四、作為一項普通決議，特此授權並指示公司解除張譯先生在公司及其任何子公司的所有職務，包括但不限於董事、高管和/或法定代表人。

截至特別股東大會的股權登記日2024年2月16日下午5:00時（香港時間），公司已發行且流通在外的股本為188,327,959股普通股。持有107,110,641股普通股的股東於特別股東大會上進行了投票。特別股東大會上針對股東提交的每項決議的投票結果為99,472,858票贊成，6,508,744票反對和1,129,039票棄權。
